Terms and Conditions

Terms for buying the printed book, the e-book and club membership.

This is a machine translation for your convenience. Only the Czech version is legally binding: Czech version.

Filip Novák, DiS., Company ID 73943118, registered office at Palackého třída 2630/131, Brno — Královo Pole, 612 00, Czech Republic, registered in the Czech Trade Register, VAT payer (the "Seller"), issues these terms and conditions for sales on the website https://zsf.cz (the "Website"). They govern the rights and obligations when concluding distance contracts via the Website and apply to both consumers and businesses; differences for businesses are stated explicitly.

Definitions. A Consumer is a natural person acting outside the scope of their business activity. A Business is anyone who concludes the contract within their business (in particular a purchase "as a company" with a Company ID). Buyer refers to both. The Products are the printed book, the electronic book (PDF), and ZSF klub membership.

I. What the Website offers

  1. The printed book Opakovaný prodej — physical goods delivered to a Zásilkovna pickup point in the Czech Republic or Slovakia.
  2. The book Opakovaný prodej in PDF (e-book) — digital content delivered via a download link.
  3. ZSF klub membership — a digital service: access to the member section of the Website (discussions, courses, meetups, and other member content) for the duration of the membership, arranged as a subscription with automatic renewal (Art. V).
  4. Services (consulting, mentoring, training) are not ordered via the Website. The inquiry form on the Website is not an order; a service contract arises only by individual agreement (usually by confirming an offer by email), and these terms apply to it accordingly unless the parties agree otherwise. For public training sessions with a published date, the cancellation terms in Art. VIII/6 apply.

II. Order and conclusion of the contract

  1. The purchase contract is concluded by sending an order from the Website's order form (via a button clearly marked as creating a payment obligation) and its acceptance by the Seller. Before sending, the Buyer can review and change the entered details. Sending the order creates an obligation to pay the price.
  2. The order includes confirmation of agreement with these terms; the wording effective on the day of the order is decisive for the contract. The Seller confirms the conclusion of the contract by email to the given address; the message with the tax document includes these terms as a PDF attachment, so the Buyer permanently keeps the wording valid on the day of purchase.
  3. The contract is concluded in the Czech language. The Seller archives it electronically for at least 3 years and provides the Buyer a copy on request.
  4. A purchase does not require registration. With membership, a user account is created whose credentials the Buyer must protect; the account is personal and non-transferable.

III. Prices and payment

  1. Prices on the Website include VAT. The printed book and e-book are subject to a zero VAT rate (exemption for the supply of books with the right to deduct); club membership to the standard 21% rate. The price is final; shipping under Art. IV/2 is added to the book's price where charged.
  2. Payment is exclusively cashless, in advance:
    • book and e-book — by card or fast bank transfer via the Comgate gateway (ComGate Payments, a.s.);
    • membership — by card via the Stripe gateway with the card stored for automatic subscription renewals (Art. V/3); the Buyer is informed about the card being stored in the payment gateway.
  3. The payment is settled the moment the transaction is successfully completed. The Seller issues the tax document electronically (the iDoklad system) and sends it by email.
  4. For time-limited campaigns and price waves (Art. V/2), the applicable price and its start date are always stated. Discounts follow the legal rules on announcing discounts.
  5. The Website currently offers no gift vouchers or discount codes.

IV. Delivery

  1. The e-book is delivered without undue delay after payment: a download link for the PDF is sent to the Buyer's email. The link is valid for 72 hours and allows at most 5 downloads — both as protection against the link circulating freely. After expiry, the Seller issues a new link on request (info@zsf.cz); the Buyer's right to delivery is unaffected.
  2. The printed book is delivered to the Zásilkovna pickup point chosen in the order, in the Czech Republic and Slovakia. The shipping price is stated in the order (currently 99 Kč within CZ and 119 Kč to Slovakia; orders over 500 Kč ship free — the book's price exceeds this threshold, so shipping is effectively free). The Seller dispatches the book within 5 business days of receiving payment if in stock, and confirms dispatch by email. The Buyer checks the parcel on pickup; obvious damage to the packaging is handled with the pickup point and reported to the Seller.
  3. Membership activates immediately after payment: a user account is created (or extended) with access to the member section, and the credentials arrive by email.

V. Club membership

  1. Membership is arranged for a quarter or a year as chosen in the order and provides access to the member section for the paid period.
  2. Price waves and the entry price guarantee. The membership price follows the price wave valid at the moment the subscription starts. The agreed price does not change on renewals — later wave increases do not affect running subscriptions. Any change to the price of a running subscription would be announced by the Seller at least 30 days in advance, with the option to cancel the subscription before it takes effect.
  3. Automatic renewal. At the end of the period, the subscription renews automatically for the same period and price by charging the stored card. The Seller notifies about an upcoming renewal by email at least 7 days in advance. If the payment fails, access ends when the paid period expires, which also ends the subscription.
  4. Cancellation. Membership can be cancelled anytime, without notice period or fee, by email to info@zsf.cz (self-service cancellation in account settings is coming; until then the Seller handles the request without undue delay and confirms it). Cancellation switches off renewal; access lasts to the end of the paid period and no further payment is taken. The unused part of a running period is not refunded unless the law provides otherwise (consumer withdrawal, see Art. VI).
  5. Club rules. Membership includes the ZSF community rules available in the member section; agreeing to them is a condition of access. The Seller announces a substantial change to the rules to members by email at least 14 days in advance; anyone who disagrees may cancel membership under paragraph 4.
  6. Termination by the Seller. In case of a serious or repeated breach of the club rules (in particular attacks on members, spreading club content outside the club, abuse of access), the Seller may terminate membership after a prior warning. On expulsion, access to the member section ends immediately. The Seller refunds the Buyer a proportional part of the subscription for unused whole calendar months; the amount for the month in which the expulsion occurred is forfeited as a flat compensation of the costs of handling the breach. The right to damages is unaffected.
  7. Availability. The Seller keeps the member section functional; planned maintenance is announced in advance. Minor maintenance outages are not a defect of the service.
  8. Club content is the copyrighted work of the Seller or of members. Membership entitles you to personal use; spreading content outside the club requires the consent of whoever created it (see the club rules).

VI. Withdrawal from the contract (consumer)

  1. A Consumer may withdraw from a distance contract without giving a reason within 14 days. The period runs from receiving the goods (the book); for digital content and services, from the day the contract is concluded. Withdrawal can be made by any unambiguous statement, most easily by email to info@zsf.cz; the model form in the annex may be used. The deadline is met by sending on the last day.
  2. E-book: in the order, the Consumer expressly requests delivery of the digital content before the withdrawal period expires and acknowledges that making the content available (sending the download link) extinguishes the right of withdrawal (Section 1837(l) of the Czech Civil Code). Without this consent, the e-book would only be delivered after the period expires.
  3. Membership: in the order, the Consumer expressly requests access to the member section immediately after payment. If they withdraw within the 14-day period, the Seller refunds the paid price reduced by a proportional part for the time from activation to withdrawal. After the period expires, membership is ended under Art. V/4.
  4. Book: if the Consumer withdraws, they return the book within 14 days of withdrawal to the Seller's registered office address (by registered mail, not cash on delivery); the direct cost of the return is borne by the Consumer. The Seller refunds, within 14 days of withdrawal, the paid price including the cheapest offered shipping, but not before receiving the book or proof of its dispatch. The refund uses the same method as the payment. The Consumer is liable for any reduction in the book's value caused by handling beyond getting acquainted with it (the book may be browsed as in a bookshop, not read).
  5. A Business Buyer has no right of withdrawal; the Seller may grant it voluntarily, possibly with a cancellation fee.
  6. The Seller may withdraw from the contract if the Buyer fails to pay even within 10 days after the due date, if performance is objectively impossible (destruction of the book stock without replacement, termination of a key third-party service), or if performance would be contrary to law. Received payments are then refunded within 14 days.

VII. Rights arising from defective performance

  1. Book: the Seller is liable for defects the book has on receipt; a defect appearing within two years may be raised by the Consumer, who may demand a new item, repair, a reasonable discount, or — if remedy is impossible or refused — withdraw. If a defect appears within one year, the item is presumed to have been defective on receipt.
  2. E-book and member section (digital content and service): the Seller ensures the performance conforms to the contract for the performance period (for membership, for its entire duration). The Consumer raises a defect without undue delay; the Seller removes it within a reasonable time (repair, renewed access, update). If not removed, the Consumer may demand a reasonable discount or withdraw. Repeated or unannounced downtime of the member section lasting more than 24 hours also counts as a defect.
  3. Complaints are made by email to info@zsf.cz with a description of the defect and the chosen claim. The Seller confirms receipt, decides on the complaint, and settles it within 30 days unless agreed otherwise with the Consumer; if the deadline lapses, the Consumer may withdraw or demand a discount. For a justified complaint, the Consumer is entitled to reimbursement of reasonably incurred costs (postage for sending the book).
  4. A Business inspects the performance without undue delay after delivery and reports defects immediately; consumer protection provisions do not apply, and defect rights follow the general rules of the Czech Civil Code. A quality guarantee is provided only if expressly agreed.

VIII. Other provisions

  1. Ownership of the book passes to the Buyer on payment and receipt; the risk of damage passes on receipt (for a Business, on handover to the first carrier).
  2. Licence: the e-book and the member section content are copyrighted works. The Buyer may use them for personal need; they must not distribute them, copy them beyond a personal backup, or make them available to third parties. Breach of the licence terminates the right of use.
  3. Personal data protection is described in the separate document Privacy Policy on the Website.
  4. The Seller is not bound by any codes of conduct.
  5. Out-of-court dispute resolution: a consumer dispute that cannot be resolved by agreement may be submitted to the Czech Trade Inspection Authority (Central Inspectorate — ADR department, Štěpánská 796/44, 110 00 Praha 1, www.coi.cz). The Seller prefers direct agreement — write to info@zsf.cz first.
  6. Cancellation of a public training with a published date: cancelling attendance more than 14 days before the event — 100% of the price is refunded; 7–14 days — 50%; less than 7 days — no refund, but a substitute may attend. The 14-day right of withdrawal does not apply to attendance at an event on a specified date (Section 1837(j) of the Czech Civil Code).
  7. Oversight is exercised by the trade licensing office, the Czech Office for Personal Data Protection (www.uoou.cz), and the Czech Trade Inspection Authority.

IX. Final provisions

These terms are an integral part of the contract. The Seller may change them; the Buyer is bound by the wording effective when the order was sent. A substantial change affecting running subscriptions is announced to members at least 14 days in advance; anyone who rejects it may end membership as of the change's effective date. Invalidity of an individual provision does not affect the others. The contract is governed by Czech law; for a Consumer this does not affect the protection afforded by the law of the state of their habitual residence.
